Brand Extension B2B Terms

1. Seller

The seller is ING Bleek UG (haftungsbeschränkt), Rosa-Luxemburg-Straße 17, 10178 Berlin, Germany, represented by Managing Director Luca Ingenbleek (“Phantom AI”, “we” or “us”). Contact: luca@phantom-ai.io. VAT identification number: DE309128856.

2. Business customers only

Brand Extension Complete is offered only to persons and organizations purchasing in the course of a trade, business or independent professional activity. It is not offered to consumers. Before Checkout, the purchaser must actively affirm: “I am purchasing for a business or independent professional activity.” The statement is not pre-checked and is stored with the legal-contract versions and time of affirmation. This technical record does not by itself determine a purchaser’s legal status.

3. Personalized Private Preview and contract formation

The opaque Private Preview URL displays a personalized set prepared for the named business. It is a private-access convenience, not DRM. A purchase request begins only when the purchaser confirms the B2B statement and chooses “Make it yours.” The browser cannot choose the price, currency or offer.

Stripe-hosted Checkout presents the final payment step. A contract is formed only when payment has been successfully completed and Phantom AI has recorded completion through a verified Stripe webhook. A browser return page or redirect is not proof of payment.

4. Product and price

The pilot product is Brand Extension Complete for $99 USD, one-time. There is no subscription.

The seven included deliverable families are:

The “Complete Set Overview” shown in a Preview is a derived presentation asset and is not an eighth deliverable.

5. Included service

The purchase includes digital delivery of the personalized set shown in the Private Preview, one facts-only finalization pass for verified name, title, address, phone, email and professional credentials, and correction of Phantom production errors.

6. Excluded scope

The purchase does not include a rebrand, logo redesign, additional concepts or custom asset families, custom dimensions, preference-based design revisions, printing, website work, social posting, advertising, ongoing support, or native editable source files unless a later written offer explicitly includes them.

7. Customer responsibilities

The customer is responsible for confirming that supplied or verified factual details are accurate and for responding to a limited finalization request where required. The customer is also responsible for having the necessary rights to the business name, trademarks, logos, images, copy and other materials already used by or supplied for its business. The customer must not instruct Phantom AI to use material it has no right to use.

8. Digital fulfillment

No instant download is promised. Digital delivery is provided within five business days after verified payment and receipt of any factual corrections required to finalize the purchased set. Delivery may occur earlier when the set is already delivery-ready. Where required, the facts-only finalization pass and final QA take place before delivery.

9. Commercial usage rights

After full payment, Phantom AI grants the purchasing business a non-exclusive, worldwide, perpetual right to use the final delivered assets for its own business and marketing activities.

This grant does not transfer ownership of Phantom AI’s underlying production systems, reusable templates, software, automation, internal tooling, production methods, unrelated source systems or native source files. It also does not transfer third-party intellectual property. Third-party rights remain with their respective owners. No exclusive copyright assignment is promised.

10. Corrections, cancellation and refunds

The purchaser may leave or cancel hosted Checkout before payment without completing a purchase.

Because the product is personalized for the named business, preference-based design revisions and change-of-mind refunds are not included. Facts-only finalization and correction of Phantom production errors remain included.

Phantom AI will provide an appropriate correction, replacement or refund where the purchased set is not delivered, the delivered set materially differs from the purchased Private Preview, or a material Phantom production error is not reasonably corrected. This policy does not exclude rights that cannot legally be excluded.

11. Payment and taxes

Payment is processed through Stripe in the currency and amount shown at Checkout. Automatic tax calculation is not enabled. The displayed pilot price is $99 USD one-time. Any legally required tax treatment remains subject to the approved seller and customer circumstances; these Terms do not represent that no tax obligation can arise.

12. Liability

No contractual limitation of liability is included in these Terms. Mandatory liability rules remain unaffected.

13. Governing law and venue

These Terms and the purchase are governed by German law. To the extent legally permissible, the place of jurisdiction is Berlin, Germany.
